Terms of Service

By accessing or using the Lexa platform (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use our Services.

These Terms form a legally binding agreement between you and Lexa Labs Inc. If you use the Services on behalf of a company, you represent that you have authority to bind that entity.

Lexa provides AI-powered legal tools including:

• Contract analysis and risk assessment
• AI-assisted contract generation
• Legal research assistance
• Case and matter management (Pro plan)
• Client portal access

To access most features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorised access
• Not share your credentials with others
• Not create accounts to abuse our Services

You are responsible for all activity under your account. We may terminate accounts that violate these Terms.

By using Lexa's AI features — including contract scanning, AI chat, and legal research — you acknowledge and agree that:

• All AI-generated outputs (risk scores, issue summaries, recommendations, law citations) are for informational purposes only
• AI results may contain errors, omissions, or inaccuracies — they are not exhaustive or authoritative
• Law citations and references provided by AI are indicative and may not reflect the most current judicial interpretation
• Lexa's AI knowledge of Ghana law is based on its training data and may not capture recent legislative amendments or case law
• You must not rely solely on AI analysis for any significant legal decision, contract signing, or dispute
• Lexa is not responsible for any loss, damage, or liability arising from decisions made based on AI analysis results
• We strongly recommend consulting a qualified Ghanaian solicitor before signing any contract or taking legal action

By using analysis features, you accept full responsibility for how you use the results and waive any claim against Lexa arising from reliance on AI-generated content.

You retain ownership of all documents and content you upload (“Your Content”). By uploading, you grant Lexa a limited licence to process Your Content solely to provide the Services to you.

You represent and warrant that:

• You have the right to upload and share the content
• Your content does not violate any third-party rights
• Your content does not contain illegal material

You may not use the Services to:

• Upload illegal, defamatory, or third-party-infringing content
• Reverse-engineer, scrape, or extract data from the platform
• Use automated bots without our permission
• Resell or sublicense access without authorisation
• Impersonate another person or entity
• Engage in any activity that harms the platform or other users
• Violate any applicable Ghanaian law

Violations may result in immediate account termination.

Paid plans are billed in advance on a monthly basis. All prices are in Ghana Cedis (GHS). Payments accepted via MTN MoMo and card.

We reserve the right to change pricing with 30 days' notice.

To the maximum extent permitted by Ghanaian law, Lexa shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from reliance on AI analysis results
• Service interruptions or downtime
• Unauthorised access resulting from your failure to protect credentials

Either party may terminate at any time. You may cancel via your account settings. We may suspend or terminate your account for Terms violations.

Upon termination:

• Access to Services ceases immediately
• Stored documents retained for 90 days, then permanently deleted
• Outstanding fees remain due
• Survival clauses remain in effect

These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be subject to the exclusive jurisdiction of Ghanaian courts.

We may modify these Terms at any time with 14 days' notice via email or in-app notification. Continued use after changes constitutes acceptance.
